These Terms of Service govern your use of BMC Digital Consulting's services and website. Please read them carefully.

Agreement to Terms

By accessing or using the services provided by BMC Digital Consulting ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and others who access or use our services, including but not limited to our Microsoft 365 onboarding, digital transformation consulting, and IT support services.

Services Description

BMC Digital Consulting provides IT consulting services including:

  • Microsoft 365 tenant setup and onboarding
  • User provisioning and management
  • Digital transformation consulting
  • IT support and maintenance
  • Security configuration and compliance

The specific services provided will be outlined in a separate Service Agreement or Statement of Work between you and BMC Digital Consulting.

User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Use our services in compliance with all applicable laws and regulations
  • Not use our services for any unlawful, fraudulent, or unauthorized purpose

Payment Terms

Payment terms for our services will be specified in your Service Agreement or invoice. Generally:

  • Fees are due according to the payment schedule outlined in your agreement
  • Late payments may incur additional fees as specified in your agreement
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to suspend services for non-payment

Intellectual Property

All content, materials, and intellectual property provided by BMC Digital Consulting remain our property. This includes but is not limited to:

  • Documentation, guides, and training materials
  • Software tools and configurations developed by us
  • Website content, logos, and branding

You are granted a limited, non-exclusive license to use these materials solely for your internal business purposes during the term of your service agreement.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes:

  • Business processes, strategies, and financial information
  • Technical specifications and system configurations
  • Customer data and user information

Limitation of Liability

To the fullest extent permitted by law, BMC Digital Consulting shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from third-party actions or services

Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

Warranties and Disclaimers

We strive to provide high-quality services, but we make no warranties that:

  • Our services will be uninterrupted or error-free
  • All defects will be corrected
  • Our services will meet all your specific requirements

Services are provided "as is" and "as available" without any warranties of any kind, either express or implied.

Termination

Either party may terminate the service agreement:

  • For convenience, with written notice as specified in the service agreement
  • Immediately, if the other party breaches any material term
  • Immediately, if the other party becomes insolvent or bankrupt

Upon termination, you must immediately cease using our services and return or destroy any confidential materials.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website with a revised "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new terms.
